The identity of the contractual seller, the auction house’s terms and conditions, statements made in the auction catalogue, the vehicle’s authenticity and identity, matching numbers, the reserve price and exclusions of liability can all become decisive if a dispute arises.

This is particularly important where an international buyer has successfully bid on a classic car at a German auction and subsequently discovers that the vehicle does not correspond to its catalogue description.

German classic car auction law is not a separate statutory field of law. Depending on the circumstances, the relevant rules may include German contract and sales law under the German Civil Code (Bürgerliches Gesetzbuch – BGB), commercial law under the German Commercial Code (Handelsgesetzbuch – HGB), auction law and private international law.

For international buyers and sellers, the first questions are therefore often: Who is my contractual counterparty? Which law applies? And what rights do I have under German law?

Who Is the Seller: The Auction House or the Consignor?

This is one of the most important legal questions in a German classic car auction.

An auction house may sell the vehicle either as an agent acting on behalf of the consignor or in its own name on commission.

If the auction house expressly acts in the name and on behalf of the consignor, the purchase agreement will generally be concluded between the successful bidder and the consignor under the German rules on agency (§§ 164 et seq. BGB).

The legal situation is different where the auction house acts in its own name but for the account of the consignor. This is generally a commission transaction within the meaning of § 383 HGB. In that case, the auction house itself may be the buyer’s contractual counterparty.

This distinction can become crucial if the successful bidder subsequently discovers that the classic car is defective, has a different identity or history from that described in the catalogue, does not have the advertised matching numbers, has undisclosed accident damage or may even be a replica or forgery.

An international buyer should therefore not automatically assume that the auction house is the seller merely because the purchase price and buyer’s premium were paid to it.

The Conditions of Sale or Auction Terms and Conditions must be examined carefully.

Why the Auction Terms and Conditions Matter

German auction houses commonly use detailed standard terms governing the auction.

These may determine, among other things:

who becomes the buyer’s contractual counterparty;

when the purchase agreement is concluded;

whether catalogue descriptions are binding;

the effect of statements concerning authenticity, originality and matching numbers;

whether and to what extent warranty rights are excluded;

the buyer’s premium and seller’s commission;

payment and collection obligations;

reserve prices and conditional sales;

post-auction sales;

applicable law; and

jurisdiction.

However, the fact that a clause appears in an auction house’s standard terms does not automatically mean that it is valid and enforceable under German law.

The incorporation and validity of standard terms may itself have to be examined under German law. This can be particularly relevant to foreign buyers who were provided with lengthy auction conditions shortly before bidding or whose transaction involves a foreign auction house conducting an auction in Germany.

I Bought a Classic Car at a German Auction and Discovered Defects – What Can I Do?

This is one of the most common situations in which international buyers seek legal advice after a German classic car auction.

At many auctions, prospective bidders have only limited opportunities to inspect a vehicle. A full technical inspection, test drive or detailed examination of the engine, chassis and vehicle identity may not be possible before the auction.

The buyer may therefore rely to a considerable extent on the auction catalogue, photographs, available documentation and statements made by the auction house.

Problems frequently arise after delivery. For example, the buyer may discover that:

the car has substantial undisclosed defects;

accident damage or previous repairs were not disclosed;

the mileage is incorrect;

the engine, gearbox or other important components are not original;

the vehicle does not have the advertised matching numbers;

the chassis or vehicle identity is questionable;

the restoration history differs from the description;

the vehicle is a replica rather than an original car; or

statements in the auction catalogue were inaccurate.

Whether the buyer can claim repair costs, a reduction of the purchase price, damages or rescission of the purchase agreement depends on the individual circumstances.

In particular, it is necessary to examine what was contractually agreed about the vehicle and whether any exclusion of liability contained in the auction conditions is effective.

Catalogue Descriptions, Authenticity and Matching Numbers

For valuable collector cars, a seemingly small difference between the vehicle advertised and the vehicle delivered can have substantial economic consequences.

A statement such as “matching numbers”, for example, may be important because originality of the engine, gearbox, chassis and other components can materially affect a collector car’s market value.

The same applies to statements concerning:

production year and specification;

chassis and engine numbers;

factory configuration;

racing history;

previous ownership;

restoration history;

accident history;

originality of bodywork and components; and

authenticity of historically significant vehicles.

The legal effect of such statements cannot be determined solely by looking at a general disclaimer stating that catalogue descriptions are non-binding.

The complete contractual documentation and the circumstances of the sale must be considered.

For a high-value classic car, it may therefore be advisable to preserve the vehicle’s condition and obtain appropriate expert evidence before repairs, restoration work or alterations are carried out.

Can an Auction House Exclude Liability for Defects?

German classic car auction conditions frequently contain extensive warranty and liability exclusions.

Such provisions require careful legal analysis.

Whether an exclusion is effective can depend, among other things, on the contractual parties, the wording of the clause, the circumstances in which the terms were incorporated into the contract, the description of the vehicle and whether relevant information was withheld or incorrectly stated.

It is therefore not sufficient to conclude that a foreign buyer has no claim merely because the auction conditions contain expressions such as “as is”, “without warranty” or state that catalogue descriptions are provided for information only.

Conversely, not every incorrect or disappointing catalogue statement automatically gives the buyer a right to rescind the transaction.

Each case requires analysis of the purchase agreement, auction conditions, catalogue description and evidence concerning the actual condition and identity of the vehicle.

Can I Rescind a Classic Car Purchase After a German Auction?

Under German law, rescission (Rücktritt) may be available where the purchased vehicle is defective and the statutory and contractual requirements are met.

Whether rescission is possible following a classic car auction depends on issues including:

who the contractual seller is;

what characteristics of the vehicle were contractually agreed;

whether the vehicle is legally defective;

whether warranty rights were effectively excluded;

whether the seller or auction house had knowledge of relevant circumstances;

whether further performance must first be requested; and

whether any applicable notice or limitation periods have expired.

For international buyers, the first step should therefore normally be to secure the complete auction documentation and evidence before taking further action.

Applicable Law in International Classic Car Auctions

International auctions can create particularly complex questions of applicable law.

The fact that an auction takes place in Germany does not by itself answer every conflict-of-laws question. The auction conditions may contain a choice-of-law clause, and the parties may be based in different countries.

Within the European context, the Rome I Regulation may determine which law applies to contractual obligations where no effective choice of law governs the dispute or where mandatory consumer rules are relevant.

The position may therefore differ depending on whether the buyer is a consumer, a professional dealer or another business.

For an international buyer or seller, the applicable-law analysis should be carried out at an early stage. It may determine not only the substantive rights available but also the relevance and validity of the auction house’s contractual terms.

Reserve Prices and Conditional Hammer Sales

Classic cars are frequently offered subject to a reserve price.

If the highest bid does not reach the agreed reserve, the auctioneer may make the sale subject to the consignor’s subsequent approval. German auction conditions frequently describe such a transaction as a sale subject to reservation or approval (Zuschlag unter Vorbehalt).

This distinction matters because the hammer falling does not necessarily mean that a binding purchase agreement has already been concluded.

The auction terms must be examined to determine:

whether the bidder remains bound by the bid;

for how long that obligation continues;

how and when the consignor may approve the transaction; and

when the contract becomes binding.

German courts have considered the permissible duration of such binding periods, and excessively long periods contained in standard terms may be open to challenge. The original German article discusses this issue in detail, including German appellate decisions concerning four- and eight-week periods. Rechtsanwälte

Selling a Classic Car Through a German Auction House

International owners consigning a vehicle to a German auction house should also review the consignment agreement carefully before the auction.

Important points include:

the agreed reserve price;

the seller’s commission;

additional consignment or catalogue fees;

the auction house’s authority to negotiate;

the possibility of a post-auction private sale;

the duration of any post-auction sales mandate;

the auction house’s obligations concerning payment by the buyer; and

the representations made about the vehicle.

Particular attention should be paid to post-auction sales.

A consignor who specifically chose an auction in the expectation of competitive bidding may not wish to give the auction house extensive authority to sell the vehicle privately after an unsuccessful auction.

The scope of such authority should therefore be established clearly in the consignment agreement.

What If the Classic Car Was Stolen?

German law contains a particular rule concerning acquisition in good faith at certain public auctions.

As a general rule, § 935 BGB prevents a purchaser from acquiring ownership in good faith where an item was stolen, lost or otherwise involuntarily removed from its owner.

There is, however, an exception for acquisition at a qualifying public auction under § 935(2) BGB.

Whether a particular classic car auction qualifies for this exception requires careful legal analysis. Not every form of auction – and particularly not every online sale described commercially as an “auction” – necessarily constitutes a public auction for these purposes.

This issue can be extremely important where the provenance or ownership history of a valuable collector car later becomes disputed.

What Should an International Buyer Do After Discovering a Problem?

If you have bought a classic car at a German auction and subsequently discover a serious problem, it is generally advisable not to alter the evidential position unnecessarily.

The following documents and information are particularly useful for an initial legal assessment:

auction catalogue and complete lot description;

Conditions of Sale;

bidder registration documents;

invoice and proof of payment;

correspondence with the auction house;

photographs and videos taken before and after the auction;

expert reports;

vehicle registration and title documents;

chassis, engine and gearbox numbers;

documentation concerning provenance, restoration or racing history; and

any statements made by the auction house or consignor.

For disputes concerning authenticity, originality, matching numbers or vehicle identity, specialist technical evidence can be as important as the legal analysis.

German Legal Representation for International Classic Car Collectors

Dr. Louis Rönsberg is a German lawyer and partner at SLB Rechtsanwaltsgesellschaft mbH in Munich. The applicable law depends on the circumstances of the transaction, including the auction conditions, any choice-of-law clause, the parties involved and whether the buyer acted as a consumer or business. For cross-border transactions, the Rome I Regulation may also be relevant.

Can I return a defective classic car bought at a German auction?

Potentially. This distinction can determine against whom contractual claims must be brought.

What if the car does not have the advertised matching numbers?

A discrepancy concerning matching numbers may be legally significant, particularly where matching numbers formed part of the agreed or advertised characteristics of the vehicle. The contractual documentation and the significance of the discrepancy for the particular vehicle should be examined.

Can I rely on the description in a German auction catalogue?

That depends on the individual transaction.
